These Terms and Conditions (“Terms”) govern your access to and use of the websites, mobile applications, platform, and related services provided by Thrivin, Inc. (“Thrivin,” “we,” “us,” or “our”), including getthrivin.com and any Thrivin-branded applications (collectively, the “Services”). Please read these Terms carefully. By accessing or using the Services, creating an account, or otherwise indicating your acceptance, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of These Terms

By creating an account, clicking to accept or agree to these Terms where that option is made available, or by accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Thrivin. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you and that organization.

2. Eligibility

You must be at least 16 years of age, or the age of majority in your jurisdiction if higher, to create an account or use the Services. By using the Services, you represent and warrant that you meet this requirement and that you are not barred from using the Services under the laws of the United States or any other applicable jurisdiction. If you are using the Services through an account provided by your employer, school, or another organization, your use may also be subject to that organization’s policies.

3. Your Account

To access certain features of the Services, you must register for an account and provide accurate, current, and complete information, including your name, email address, and/or mobile number, and a password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@getthrivin.com of any unauthorized use of your account or any other breach of security. Thrivin is not liable for any loss or damage arising from your failure to safeguard your account credentials. You may not share your account, transfer it to another person, or use another person’s account without permission.

4. Use of the Services

Subject to your compliance with these Terms, Thrivin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, including participating in assessments, upskilling and learning programs, career pathing, coaching and mentoring, and related workforce-development features. This license does not include any right to resell or make commercial use of the Services or their contents, to use any data mining, robots, or similar data-gathering tools, or to download or copy account information for the benefit of another party. All rights not expressly granted to you are reserved by Thrivin.

5. Acceptable Use

You agree not to misuse the Services. Without limitation, you agree that you will not, and will not attempt to:

Violate any applicable law, regulation, or the rights of any third party;
Post, upload, or transmit content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, discriminatory, or otherwise objectionable;
Impersonate any person or entity or misrepresent your affiliation with a person or entity;
Upload or transmit viruses, malware, or any other malicious or harmful code;
Interfere with, disrupt, or place an unreasonable load on the Services or the servers or networks that support them;
Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services;
Scrape, harvest, or collect information about other users without their consent;
Reverse engineer, decompile, or disassemble any part of the Services, except to the extent such restriction is prohibited by applicable law; or
Use the Services to send unsolicited communications, promotions, or advertisements, or to engage in spamming.

We reserve the right, but are not obligated, to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting activity to law enforcement.

6. User Content

The Services may allow you to create, post, upload, or share content, including profile information, resumes, assessments responses, comments, and other materials (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Thrivin a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, and display that User Content solely as necessary to operate, provide, improve, and promote the Services, consistent with your settings and our Privacy Policy.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate these Terms or the rights of any third party. You are solely responsible for your User Content and the consequences of posting it. We are not responsible for, and do not endorse, any User Content, and we may remove or restrict any User Content at our discretion.

7. Intellectual Property

The Services and all content and materials made available through them, other than User Content — including software, text, graphics, logos, designs, assessments, learning materials, and the “Thrivin” name and marks — are owned by Thrivin or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted to you in these Terms, nothing in these Terms transfers any ownership or intellectual property rights to you. You may not use any Thrivin trademark, logo, or brand feature without our prior written consent.

8. Subscriptions, Fees & Payments

Certain features of the Services may be offered on a paid or subscription basis. If you purchase a paid Service, you agree to pay all applicable fees and taxes as described at the point of purchase. Unless otherwise stated, subscriptions may automatically renew for successive periods at the then-current rate until you cancel. You may cancel a subscription in accordance with the cancellation instructions provided for that Service. Except as required by law or as expressly stated by us, fees are non-refundable. We may change our fees and payment terms at any time, with notice where required, and any changes will apply to billing periods after the change takes effect. If your organization pays for your access to the Services, the terms of that arrangement are between your organization and Thrivin, and additional or different terms may apply.

9. SMS / Text Messaging

Program: Thrivin messaging — recurring check-in and learning reminders, nudges, and account notifications sent by text message (SMS) and, where you select it, WhatsApp.

Thrivin is a workplace wellbeing and learning platform offered to employees through their employer. Employers enrol employees on the platform but cannot and do not opt employees into SMS or WhatsApp messaging, and Thrivin does not obtain mobile numbers from employers for messaging. You opt in yourself inside the authenticated Thrivin web app: on the “Set Up Your Daily Scorecard” screen, under “How would you prefer to receive notifications?”, you select the SMS (and/or WhatsApp) checkbox (these are not pre-selected), enter your own mobile number, and save. Saving the form with SMS selected is your affirmative opt-in.

By providing your phone number and selecting SMS or WhatsApp, you consent to receive check-in and learning reminders, nudges, and account notifications from Thrivin at the number provided. Consent to receive these messages is not a condition of purchase or of using the Thrivin platform, and you can use Thrivin and complete your check-ins through other channels (such as WhatsApp or email) without enabling SMS.

This is a recurring messaging program and message frequency varies. Thrivin does not send marketing or promotional content through this messaging program. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

You may opt out at any time by replying STOP to any message, or by deselecting SMS in your Thrivin notification preferences. After replying STOP, you will receive one confirmation message and no further texts. Reply HELP for assistance, or contact us at support@getthrivin.com.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.

10. Third-Party Services & Links

The Services may contain links to, or integrations with, third-party websites, applications, or services that are not owned or controlled by Thrivin. We provide these links and integrations for your convenience and do not endorse and are not responsible for the content, products, services, or practices of any third party. Your use of third-party services is governed by their own terms and privacy policies, and we encourage you to review them. Thrivin is not liable for any loss or damage arising from your use of any third-party service.

11. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and share your personal data, including mobile information collected in connection with SMS/text messaging, and is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Thrivin disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Thrivin does not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any content, assessments, learning materials, or recommendations will meet your requirements or produce any particular career, employment, or other outcome. Any material downloaded or otherwise obtained through the Services is accessed at your own discretion and risk.

13. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Thrivin, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Services, whether based on warranty, contract, tort, or any other legal theory, and whether or not Thrivin has been advised of the possibility of such damages. To the fullest extent permitted by law, Thrivin’s total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid to Thrivin for the Services in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Thrivin and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any applicable law or the rights of any third party.

15. Term & Termination

These Terms remain in effect while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms, if required to do so by law, or to protect the Services or other users. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination — including User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws principles. Subject to any applicable mandatory law, you agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us at support@getthrivin.com to attempt to resolve the dispute informally. Nothing in this section limits either party’s ability to seek injunctive or equitable relief for the infringement or misuse of intellectual property rights.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means and update the “Last Updated” date above. Changes are effective as of the date indicated. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may close your account.

18. General Provisions

These Terms, together with the Privacy Policy and any other terms referenced here, constitute the entire agreement between you and Thrivin regarding the Services and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction. The section headings are for convenience only and have no legal effect.
